Corporate records shareholder inspections
Corporate Records Shareholder InspectionsYoure conducting business as a corporation and various shareholders have kicked in investment money. Can shareholder inspections of corporate records occur?Emotional AttachmentWith small businesses, emotions can run high. Typically, a person has a great business idea, but need investors to create a pool of cash to get the business going. In such situations, the person has an emotional attachment to the business and thinks it is theirs. After all, if it is my great idea, I should control it. This understandable attitude can lead to problems. When you form a corporation and take on investors, you must be ready to let your baby go. The corporate entity is now the owner of the idea, which means all shareholders have a say in how things are run. The fact that you were the one that came up with the idea is absolutely irrelevant. If this sounds unfair, you may want to consider other ways to raise money instead of selling shares in the entity. Corporate RecordsA corporate entity, including a limited liability company, is a separate person for legal purposes. This legal fiction creates a liability shield between the business and your personal assets. However, this also requires the corporation to keep records such as board resolutions, bylaws, articles of incorporation, balance sheets and so on. These corporate records should create a time line and snapshot of the corporate business for each fiscal year. Shareholder InspectionsIn every state, shareholders have a right to inspect the records of a corporation. The scope of the inspection depends upon the particular laws of each state, but typically covers all records in the corporate books, balance sheets and even tax returns. The shareholder must typically make a written request to see the https://privatebin.net/?ca3a67783bc366e2#D1VtovbTj1LSQqEfwFi89Jq3mYTdBb7LX7XZTfL2f6zQ records three to five days prior to the date in question. The lawyer and accountant of the shareholder can also view the records. Most people react badly to shareholder inspection requests. Upon receiving a request, most will assume a lawsuit is coming and get combative. This, of course, leads to a refusal of the inspection request. Such emotional refusals are a huge mistake and violate the laws of practically every state. Shareholders have the right to inspect corporate records and you cannot deny their request. If a shareholder seeks to inspect corporate records, you can take a few steps. First, call the corporate attorney and get advice. Second, the corporate attorney may want to be present to make sure only the legally required records are disclosed. This tactic is highly dependent on the laws of each state and involves complex strategy decisions. Regardless, the best option is to immediately contact the corporate attorney and find out your options. If you obtain money from investors to pursue your business idea, you must understand that it is no longer yours. To this end, shareholders have the right to inspect the records of the business.

Ignorance and PunishmentThe fact that one is ignorant of the law does not a sufficient defence in a court of law make. Ignorance is no protection against punishment. The adult is presumed to know all the laws. This presumption is knowingly and clearly false. So why is it made in the first place? There are many types of laws. If a person is not aware of the existence of gravitation, he will still obey it and fall to the ground from a tall building. This is a law of nature and, indeed, ignorance serves as no protection and cannot shield one from its effects and applicability. But human laws cannot be assumed to have he same power. They are culture-dependent, history-dependent, related to needs and priorities of the community of humans to which they apply. A law that is dependent and derivative is also contingent. No one can be reasonably expected to have intimate (or even passing) acquaintance with all things contingent. A special learning process, directed at the contingency must be effectuated to secure such knowledge.Perhaps human laws reflect some in-built natural truth, discernible by all conscious, intelligent observers? Some of them give out such an impression. “Thou shalt not murder”, for instance. But this makes none of them less contingent. That all human cultures throughout history obtained the same thinking regarding murder – does not bestow upon the human prohibition a privileged https://rentry.co/ox9wg85a nomic status. In other words, no law is endowed with the status of a law of nature just by virtue of the broad agreement between humans who support it. There is no power in numbers, in this respect. A law of nature is not a statistically determined “event”. At least, ideally, it should not be.Another argument is that a person should be guided by a sense of right and wrong. This inner guide, also known as the conscience or the super-ego, is the result of social and psychological processes collectively known as “socialization”. But socialization itself is contingent, in the sense that we have described. It cannot serve as a rigorous, objective benchmark. Itself a product of cultural accumulation and conditioning, it should be no more self evident than the very laws with which it tries to imbue the persons to whom it is applied.Still, laws are made public. They are accessible to anyone who cares to get acquainted with them. Or so, theoretically. Actually, it is inaccessible to the illiterate, to those who have not assimilated the legal jargon, or to the poor. Even if laws were uniformly accessible to all – their interpretation would not have been. In many legal systems, precedents and court decisions are an integral part of the law. Really, there is no such thing as a perfect law. Laws evolve, grow, are replaced by others, which better reflect mores and beliefs, values and fears, in general the public psychology as mediated by the legislators. This is why a class of professionals has arisen, who make it their main business to keep up with the legal evolution and revolutions. Not many can afford the services of these law-yers. In this respect, many do not have ample access to the latest (and relevant) versions of the law. Nor would it be true to say that there is no convincing way to pierce one’s mind in order to ascertain whether he did know the law in advance or not. We all use stereotypes and estimates in our daily contacts with others. There is no reason to refrain from doing so only in this particular case. If an illiterate, poor person broke a law – it could safely be assumed that he did not know, a-priori, that he was doing so. Assuming otherwise would lead to falsity, something the law is supposed to try and avoid. It is, therefore, not an operational problem.

Junk Faxes New California Law ChallengedI hate junk faxes. You hate junk faxes. We all hate junk faxes! California legislators passed a law banning them, but it has been delayed to a legal challenge. Junk Fax Prevention ActIn 2005, the State of California passed the Junk Fax Prevention Act. Legislators were reacting to the bevy of businesses screaming about the junk faxes being received daily. The problem with junk faxes, besides being annoying, is they put wear and tear on fax machines as well as using up paper and toner. In passing the new law, legislators sought to help businesses. In truth, I imagine they just wanted to free up their own faxes, but I digress. The Junk Fax Prevention Act was set to go into force on January 1, 2006. In a rather shocking move, the U.S. Chamber of Commerce filed for an injunction, which was granted. Joining the Chamber of Commerce is Xpedite Systems, a fax company. Filed in federal court, the injunction was granted and the law stayed from being enforced. A hearing on the matter will be held January 23, 2006 with the earliest resolution of the matter being January 30, 2006. At the heart of the dispute is an exemption to the law known as the previous business relationship exemption. Under federal law, a person may send a fax to a person or business with which they have had a previous business relationship. The problem, however, is there is no particular test for determining a previous business relationship. The California law seeks to require proof of such a business relationship. Ironically, the U.S. Chamber of Commerce was one of the biggest and boisterous supporters of the federal junk fax law. In a mysterious change of position, the Chamber of Commerce is now taking the position the California law is unduly burdensome on medium and small businesses. This position is so much hogwash, a typical stance for the Chamber of Commerce. When evaluating such bland statement positions, it is always important to use common sense. In this case, https://penzu.com/p/cf83e46f0c4c0920 a business sending faxes to clients is easily going to have proof of such relationships. Indeed, most businesses now communicate by email with their clients in lieu of a fax. If something written needs to go out, it is typically done by snail mail. Intentionally or not, the only parties the U.S. Chamber of Commerce is protecting are the junk fax senders. What a shame. Lets hope the court puts the Chamber in its place.
